TERMS OF USE
  1. SCOPE :
    1. JPL operates a platform that allows users (“You”, “Your” or “Users”) to launch content as a screensaver on the device’s (“Device”) locked screen known as “JioHalo” (‘JioHalo’ and includes any rebranded or successor version of JioHalo) (hereinafter referred to as “Company” “We”, “Our” or “Us” or “Platform”). Your use of the Platform is subject to these Terms and Conditions (“Terms”).
    2. JioHalo provides easily accessible content that may be of interest to You such as images, text, snippets, news, weather, sports, entertainment, gifs, infographics, stories, shopping experience, videos, wallpapers, audio- visual programs, or such other information (“Content”). Such Content may be generated, developed or produced by Company (“Owned Content”) or aggregated, obtained and/or licensed through third party sources (“Third Party Content”). Content may include content generated using artificial intelligence (“AI”) tools. For the avoidance of doubt, Owned Content may incorporate or include certain Third-Party Content. By selecting and clicking on the content card of Your choice, You, may subsequently discover and access more information about a particular Content on Your Device, by accessing the links to third-party webpages, applications or other such landing pages by scanning the QR code displayed on JioHalo. It may also feature advertising/ promotional content tailored to your interests. Some Content may further have a call to action to install an application at the user’s election. You may require appropriate internet access to use JioHalo. You are solely responsible for any fees charged by your internet access provider including carrier data plans, extra charges or taxes that you may incur when using JioHalo. Company including its affiliates, licensor’s or any authorized representative do not make and hereby expressly disclaim any and all liabilities or responsibilities associated with Your access to the internet and related fees.
    3. Your use of the Platform requires that you agree to these Terms and the Privacy Policy of the Platform available at PP on the Platform and by clicking the ‘I Agree” button, or otherwise having access to, receiving, and/or using the Platform. You acknowledge to have read, understood and you agree to be governed and bound by these Terms and the Privacy Policy of the Platform. Your use and continued use of the Platform in future will imply that you have read, understood and accepted these Terms. If You do not accept any part of them, then You should not use the Platform.
    4. The Terms are an electronic record in terms of the Information Technology Act, 2000 (as amended / re-enacted / replaced) (“IT Act”) and rules thereunder, and is published in accordance with the provisions of Rule 3 (1) of Information Technology (Intermediaries Guidelines and Digital Media Ethics code) Rules, 2021, which mandates publishing of rules and regulations, privacy policy and terms of use for access or usage of the Platform. This electronic record is generated by a computer system and does not require any physical or digital signatures.
    5. By enabling, subscribing to, accessing or using JioHalo, you agree to be bound by these Terms. If You don’t agree to be bound by these Terms, do not use or download JioHalo. If JioHalo is pre-loaded on your Device and you do not agree to these Terms, please visit the settings page on your device to disable ‘JioHalo’ as made available in such settings page.
    6. These Terms apply without prejudice and is subject to any software and Device licences and/or terms of use that you may have entered into or accepted for the use of the third-party application store/platform or the application/ Device in which JioHalo is bundled/pre-loaded, as applicable.
    7. You affirm that You are 18 years of age or above, or if You are a minor (i.e. less than 18 years of age), possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.
    8. You may use JioHalo and the Content only in geographic locations where we offer our service and have licensed such Content. The Content that may be available to watch will vary by geographic location and will change from time to time.
  2. MODIFICATIONS
    1. Modifications of the Terms: The Company reserves the right to update and/or modify the Terms under which the services of the Platform are offered, including but not limited to the charges, if any, associated with the use of the Platform. The Terms may be further modified based on changes in the business, legal and regulatory requirements and will be updated online. We will notify you whenever any changes to the Terms are made. You are encouraged to periodically visit this page to review these Terms and any changes to it.
    2. Modification of Platform: The Company reserves the right to add, modify or delete any content or features available on the Platform at any time at its sole discretion.
  3. THIRD PARTY CONTENT AND LINKS
    4. You agree and acknowledge that:
    1. JioHalo includes Third Party Content, advertising information or promotional material (“Promo-Content”) and it is hereby clarified that Company is not responsible or liable for any Third-Party Content and/or Promo-Content, the intellectual property and other proprietary rights in the Third Party Content and/or Promo-Content. Company is not responsible for the accuracy of any Content which may be accessed by You and Your use of the JioHalo, the Promo-Content and the Content, including Your election to view, interact with or action upon the same is at Your sole risk and discretion.
    2. The Platform may contain links to other websites/applications (“Linked Sites”). The Linked Sites are not under the control of the Company and the Company is not responsible for the contents contained in any Linked Site, including without limitation, any link contained in a Linked Site, or any changes or updates to a Linked Site or any information transmitted on a Linked Site. The inclusion of any link does not imply endorsement by the Company of such site or any association with its owners and/or operators otherwise as specifically mentioned here under this Terms of Use.
    3. Any dealings with third parties (including advertisers) included within or available by way of a link via the Platform or participation in promotions, or engagement thereof, including the delivery of, and the payment for, goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between you and such advertiser or other third party. The Company shall not be responsible or liable for any part of any such dealings or promotions.
    4. You acknowledge and agree that the use of any Third Party Content is governed by a third party’s terms of use, license agreement, privacy policy, or other such agreement. THE COMPANY DISCLAIMS ANY AND ALL RESPONSIBILITY FOR ANY DISCLOSURE OF INFORMATION OR ANY OTHER PRACTICES OF ANY SUCH THIRD PARTY. THE COMPANY EXPRESSLY DISCLAIMS ANY WARRANTY WITH RESPECT TO YOUR PERSONAL OR OTHER INFORMATION THAT MAY BE COLLECTED, PROCESSED, SHARED OR RETAINED BY ANY THIRD PARTY
  4. PRIVACY AND PROTECTION OF PERSONAL INFORMATION :
    1. For JioHalo to provide optimum User experience, we may collect and/or obtain certain User information (including device-related information, Ad ID, IP address, location data etc.). All such User information shall be collected, used and processed in accordance with the provisions of the Privacy Policy. The Privacy Policy explains how we collect, use and share Your data when You use JioHalo. JioHalo may enable You with the ability to disable or opt out of certain features (including targeted advertising, if applicable). When these features are made available, to change these settings, please visit the settings page on Your Device or use other mechanisms which we or the Device partners will provide and update you about from time to time.
  5. INTELLECTUAL PROPERTY RIGHTS :
    1. The Company or all the right holders in/of the Platform and/or your device, as the case may be, own title, interest and rights, including all related intellectual property rights, in/of the Platform and/or your televions and the user acknowledges that such ownership shall include all intellectual property rights arising from any suggestions, enhancement requests, recommendations or other information provided by you, whether in the course of use of the Platform and Device.
    2. You acknowledge that (i) all rights, title and interest including without limitations the intellectual property rights in the JioHalo, software, and Content used within and along with it anywhere in the world belong to us and/or our licensors and/or our content providers, (ii) rights in the JioHalo is licensed (not sold) to You and You have no rights in, or to, the JioHalo other than the right to use the JioHalo in strict conformity with these Terms.
    3. Other than as set out expressly in any arrangement between the User and the Company, neither party will acquire any right, title, or interest in any intellectual property rights belonging to the other party or to the other party’s licensors.
    4. We grant you a limited, revocable, non-exclusive, non-assignable and non-sub licensable license to use the Company’s trade names, trademarks, service marks, logos, domain names, and other distinctive brand features (“Brand Features”) solely in connection with your use of the Platform and in accordance with these Terms and our Privacy Policy. We may revoke this license at any time. Any goodwill arising from your use of the Brand Features will belong to the Company.
  6. USE LIMITATIONS :
    1. Services offered by the Platform are intended solely for the purpose of usage of the Platform. You may not distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services offered by the Platform without the knowledge of Company.
    2. As a condition of your use of the Platform, you warrant to the Company that you will not use the Platform for any purpose that is unlawful or prohibited by applicable law or these Terms. You may not use the Platform in any manner which could damage, disable, overburden or impair the services or interfere with any other party’s use of the Platform and in any way damage the Company’s reputation or name.
    3. You are not entitled to use any kind of measures, mechanisms or tools (software or hardware) that could interfere with the functioning of the Platform.
    4. You may not use the Platform if (i) you have been convicted of any offence under applicable law; or (ii) if you are under the age of 18 years.
    5. You agree that you will not use the Platform ins any manner, that is contrary to these Terms, the Privacy Policy, or any other policy of Company, as updated from time to time, or that is contrary to applicable law.
    6. You may not use Content in an obscene, pornographic, defamatory, disparaging, infringingor other unlawful manner or in violation of any applicable laws, proprietary or privacy rights;
    7. Unless expressly permitted pursuant to JioHalo, you may not use the Content for any commercial, promotional, advertorial, endorsement, advertising or merchandising purpose
    8. You may not share, aggregate, re-distribute, reproduce, download, sub-license, publish, copy, create derivative works, offer for sale or use the Content and/or Promo-Content displayed on JioHalo Platform (unless You are specifically permitted by way of a ‘Share’ or ‘Copy’ button);
  7. LIMITED WARRANTY AND DISCLAIMER :
    1. THE COMPANY AND/OR ITS RESPECTIVE AFFILIATES MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS AND ACCURACY OF THE INFORMATION, SOFTWARE AND SERVICES AND RELATED CONTENT CONTAINED ON THE PLATFORM FOR ANY PURPOSE. ALL SUCH INFORMATION, SOFTWARE AND SERVICES AND RELATED CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND INCLUDING AS TO ITS FITNESS AND MERCHANTABILITY. THE COMPANY AND/OR ITS RESPECTIVE AFFILLIATES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, AND SERVICES AND RELATED CONTENT, INCLUDING ALL IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
    2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF, OR INABILITY TO USE OR ACCESS, THE PLATFORM OR ALL OR ANY OF THE SERVICES OR FOR ANY SECURITY BREACH OR ANY VIRUS, BUG, UNAUTHORIZED INTERVENTION, DEFECT, OR TECHNICAL MALFUNCTIONING OF THE PLATFORM OR ANY OR ALL OF THE SERVICES, WHETHER OR NOT FORESEEABLE OR WHETHER OR NOT THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR BASED ON ANY THEORY OF LIABILITY, INCLUDING BREACH OF CONTRACT OR WARRANTY, NEGLIGENCE OR OTHER TORTIOUS ACTION, OR ANY OTHER CLAIM ARISING OUT, OF OR IN CONNECTION WITH, YOUR USE OF, OR ACCESS TO, THE PLATFORM, THE SERVICES OR THE CONTENT. FURTHER, THE COMPANY SHALL NOT BE LIABLE TO YOU FOR ANY TEMPORARY DISABLEMENT, PERMANENT DISCONTINUANCE OR MODIFICATION OF THE PLATFORM BY THE COMPANY OR FOR ANY CONSEQUENCES RESULTING FROM SUCH ACTIONS.
    3. YOU SPECIFICALLY AGREE THAT THE COMPANY IS NOT RESPONSIBLE OR LIABLE FOR ANY INFRINGEMENT OF ANOTHER'S RIGHTS, INCLUDING INTELLECTUAL PROPERTY RIGHTS. YOU SPECIFICALLY AGREE THAT THE COMPANY IS NOT RESPONSIBLE FOR ANY SERVICES SENT USING AND/OR INCLUDED IN THE PLATFORM BY ANY THIRD PARTY.
    4. THE COMPANY DOES NOT GUARANTEE COMPATIBILITY WITH ALL OPERATING SYSTEMS, TELEVISIONS, NETWORKS, INCLUDING ALL VERSIONS OF THEM. THE USE OF THE TELEVISION, AND SOFTWARE, AND AUTOMATIC UPGRADES OF THE SOFTWARE, MAY REQUIRE UPGRADES TO TELEVISION OPERATING SYSTEMS, NETWORKS, AND APPLICATION SOFTWARE.
  8. TERMINATION :
    1. The Company reserves the right to blacklist, disable and terminate that user from further using the Platform.
    2. If the Company disables access to your account in accordance with these Terms (for example if you violate any applicable terms), you may be prevented from accessing the Platform.
    3. The Company reserves the right, at its sole discretion, to terminate your access of the Platform and the related services or any portion thereof at any time, without notice.
  9. INDEMNITY:
    1. You hereby agree to defend, indemnify and hold harmless Company, its Affiliates, licensors, officers, directors, employees and agents, from and against any and all claims, damages, actions, losses, liabilities, costs, and expenses (including but not limited to attorney’s fees) arising from: (i) Your use of and access of the JioHalo, Content and any materials comprising the JioHalo; (ii) Your violation of the Terms; (iii) Your violation of any third party rights and applicable laws.
  10. FORCE MAJEURE:
    1. The Company shall be under no liability whatsoever in the event of non-availability of any portion of the Platform or subscribed content occasioned by act of God, war, disease, revolution, riot, civil commotion, strike, lockout, flood, fire, failure of any public utility, manmade disaster, infrastructure failure or any other cause whatsoever beyond the control of the Company.
  11. SEVERABILITY :
    1. If any of the provisions of these Terms are deemed invalid, void, or for any reason unenforceable, that part of these Terms will be deemed severable and will not affect the validity and enforceability of any remaining provisions of these Terms.
  12. GOVERNING LAW AND JUSRIDICTION :
    1. These Terms shall be governed and construed in accordance with the laws of India. The courts in Mumbai shall have exclusive jurisdiction to hear disputes arising out of, or in connection with, these Terms.
